Terms of Service

These Terms of Service govern your use of Qiblix and the digital services we provide. By using our website, submitting an onboarding application, purchasing a solution, or engaging Qiblix for services, you agree to these Terms.
1. About Qiblix
Qiblix provides digital services including website design and development, online stores, custom digital platforms, hosting, maintenance, technical support, digital strategy, SEO, branding, integrations and related digital services.
Qiblix is a values-led digital service intended to work with businesses, organisations and projects that align with Qiblix's values and service guidelines.
These Terms govern your use of the Qiblix website and your purchase or use of Qiblix services.
2. Acceptance of These Terms
By accessing the Qiblix website, submitting an enquiry or onboarding application, creating an account, uploading materials, making a payment, or engaging Qiblix for services, you agree to these Terms.
If you are accepting these Terms on behalf of a business or organisation, you confirm that you have authority to do so.
If you do not agree to these Terms, you should not use Qiblix services.
3. Qiblix Values and Business Eligibility
Qiblix is a faith-based digital service and seeks to work with businesses and organisations whose products, services and digital presentation align with Qiblix's values.
Qiblix may decline, refuse, pause or discontinue a project where the business, product, service, requested functionality or supplied content does not align with Qiblix's service guidelines.
This may include, without limitation, businesses or services involving interest-based financial activities, prohibited or impermissible products or services, or other activities that Qiblix determines are inconsistent with its values.
Qiblix also maintains visual guidelines for websites and digital experiences created through its services. For product-focused online stores, Qiblix generally prioritises the product itself as the primary visual focus.
Qiblix may decline requests for imagery, content or presentation that conflicts with its visual guidelines.
Completion of an onboarding eligibility confirmation does not prevent Qiblix from reviewing the suitability of a project if additional information becomes available.
4. Services
The services provided to you will depend on the solution, package, subscription, add-ons or custom scope selected during onboarding or otherwise agreed with Qiblix.
Services may include:
- Website design and development
- Ecommerce and online stores
- Custom digital platforms
- Hosting
- Maintenance
- Technical support
- SEO
- Analytics
- Integrations
- Branding
- Copywriting
- Motion and interactive experiences
- Custom software functionality
Custom projects may require a separate proposal, quotation, statement of work or service agreement.
5. Onboarding
Qiblix may require you to complete an onboarding process before services commence.
The onboarding process may collect information about your identity, business, business category, products or services, goals, website requirements, design preferences, functionality requirements and other information required to plan your project.
You are responsible for ensuring that information submitted during onboarding is accurate, complete and current.
Qiblix may rely on information supplied during onboarding when assessing, planning and delivering your project.
6. Project Approval
Submitting an onboarding application does not automatically mean that Qiblix has accepted the project.
Qiblix may review an application before commencing work.
Qiblix may decline a project where it does not meet Qiblix's service requirements, values, technical requirements, availability or other applicable criteria.
7. Payments
Prices and payment arrangements will be displayed during the purchasing or onboarding process or otherwise agreed with you.
Qiblix may offer monthly subscriptions, annual subscriptions, one-time payments, add-ons and custom project pricing.
Payments may be processed using third-party payment providers, including Stripe.
You authorise Qiblix and its applicable payment provider to process payments according to the payment arrangement selected by you.
8. Subscription Term and Minimum Commitment
Qiblix services are provided as an ongoing digital service rather than as a one-time sale of a website.
Unless otherwise stated for a particular service, subscriptions have a minimum initial commitment of 12 months.
By subscribing to a Qiblix service, you agree to remain subscribed and responsible for the applicable subscription fees throughout the minimum commitment period.
The minimum commitment does not limit any rights or remedies that cannot legally be excluded under applicable law, including rights arising under the Australian Consumer Law.
9. Recurring Payments
Where you purchase a recurring subscription, you authorise recurring charges according to the selected billing period.
The subscription will continue during the applicable minimum commitment and thereafter until cancelled or otherwise terminated in accordance with these Terms and the applicable service arrangement.
If a recurring payment fails, Qiblix may contact you regarding the failed payment and may suspend applicable services until payment is successfully received.
10. Client Delays and Project Pauses
Qiblix projects depend on the client providing information, content, assets, approvals and feedback within a reasonable timeframe.
If Qiblix is unable to continue a project because the client has not provided required information, materials, approvals or responses, Qiblix may place the project into a Paused status.
A project being placed on hold because of client delay does not automatically cancel or suspend the client's subscription or payment obligations.
Where the Qiblix service remains active and Qiblix continues to maintain applicable hosting, infrastructure, systems or other ongoing services for the client, applicable subscription fees remain payable during the pause.
Project deadlines and delivery estimates may be adjusted to account for periods in which Qiblix is waiting for the client.
Qiblix is not responsible for delays caused by the client's failure to provide information, materials, approvals or responses.
11. Restarting a Paused Project
Where a client requests that a paused project be restarted, Qiblix may require all outstanding payments to be brought up to date before work resumes.
Where a project has been paused for an extended period, Qiblix may also require a restart fee where additional work is reasonably required to review, re-plan, update or reconfigure the project before development can continue.
Any applicable restart fee will be communicated to the client before the project is restarted.
12. Cancellation
Unless otherwise stated for a particular service, the client's initial subscription commitment is 12 months.
After completing the minimum initial commitment, a client may request cancellation of their Qiblix subscription in accordance with the applicable cancellation process.
Cancellation does not automatically cancel outstanding amounts that became payable before the effective cancellation date.
Cancellation does not create an automatic right to migration, transfer of Qiblix-owned technology, source code, infrastructure or other Qiblix intellectual property.
Nothing in these Terms excludes rights that cannot legally be excluded under applicable law.
13. Refunds
Refunds will be handled according to the applicable service terms, circumstances of the transaction and applicable law.
Where Qiblix has not yet commenced a service, Qiblix may determine whether a refund is appropriate based on the applicable service terms.
Where services have already been provided, any refund will take into account the services already supplied and any applicable contractual or legal rights.
The existence of a minimum subscription commitment does not exclude any consumer guarantee, statutory right or other remedy that cannot legally be excluded.
14. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law.
For major failures with the service, you are entitled:
- to cancel your service contract with us; and
- to a refund for the unused portion, or to compensation for its reduced value.
You are also entitled to be compensated for any other reasonably foreseeable loss or damage.
If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time. If this is not done, you are entitled to cancel the service contract and obtain a refund for the unused portion.
These rights operate in addition to any other rights available under applicable law.
15. Client Responsibilities
You agree to:
- provide accurate and complete information;
- provide required content and assets;
- provide required approvals in a timely manner;
- ensure that you have the rights necessary to provide materials to Qiblix;
- respond to reasonable project communications;
- provide accurate product, pricing and business information;
- ensure that your business and supplied content comply with applicable laws; and
- use Qiblix services lawfully.
Client delays, including delays in providing information, assets, approvals or decisions, may affect project timelines.
16. Client Content and Assets
You retain ownership of materials that you provide to Qiblix, including logos, photographs, documents, written content, product information and other materials that belong to you or your licensors.
By providing materials to Qiblix, you grant Qiblix the permission reasonably necessary to access, reproduce, modify and use those materials for the purpose of providing the agreed services.
You are responsible for ensuring that materials you provide do not infringe the rights of another person or organisation.
17. Uploaded Files
Files uploaded through Qiblix onboarding or the client portal may include logos, brand guidelines, photographs, product information, documents and other project materials.
Qiblix may store and access these materials for the purpose of providing the services.
You are responsible for ensuring that you have the right to provide any uploaded materials.
18. Intellectual Property and Managed Website Service
Qiblix provides websites and digital experiences as an ongoing managed service.
Unless otherwise expressly agreed in writing, the client's subscription does not constitute a sale or transfer of Qiblix's underlying technology or intellectual property.
Qiblix retains ownership of its underlying technology, systems, frameworks, reusable code, components, templates, design systems, infrastructure, development processes, internal tools and other intellectual property used to provide the Qiblix service.
The client receives the right to use the website and applicable digital service for the duration of the applicable service arrangement.
Client-supplied materials, including logos, photographs, written content, product information and other materials belonging to the client, remain the client's property, subject to applicable third-party rights.
Third-party software, plugins, fonts, APIs, stock assets and other third-party materials remain subject to their applicable licences and terms.
19. Website and Content Approval
Clients are responsible for reviewing and approving the content and functionality of their website before launch.
Clients remain responsible for the accuracy of business information, product descriptions, prices, claims, policies and other client-supplied content.
Qiblix is not responsible for inaccuracies contained in information supplied or approved by the client.
20. Hosting and Ongoing Services
Where hosting, maintenance or support is included in a selected service, Qiblix will provide those services according to the applicable scope.
Qiblix may maintain the website, infrastructure, integrations and related systems as part of the ongoing service.
Third-party outages, infrastructure failures, domain registrar issues, payment-provider failures and circumstances outside Qiblix's reasonable control may affect service availability.
21. Third-Party Services
Qiblix may use third-party services to provide parts of its platform and services, including payment processing, hosting, authentication, database services, file storage, email delivery and other infrastructure.
Third-party services may have their own terms, service agreements and privacy policies.
Your use of functionality provided by a third party may also be subject to that provider's applicable terms.
Qiblix is not responsible for independent failures, changes, suspension or discontinuation of third-party services outside Qiblix's reasonable control.
22. Service Changes
Qiblix may improve, modify or replace features of its services from time to time.
Where a change materially affects an existing paid service, Qiblix will take reasonable steps to address the impact on affected clients.
23. Suspension
Qiblix may suspend access to applicable services where:
- payment is overdue;
- there is a material breach of these Terms;
- the service is being used unlawfully;
- supplied content creates a legal or security risk;
- the client engages in abusive or harmful conduct; or
- continued provision of the service would conflict with Qiblix's service guidelines.
Where reasonably appropriate, Qiblix will provide notice before suspension.
Suspension of project development due to client delay does not necessarily suspend the client's subscription or payment obligations where the underlying Qiblix service remains active.
24. Termination
Either party may terminate a service relationship in accordance with the applicable service arrangement and these Terms.
Qiblix may terminate or discontinue services where there is a material breach of these Terms, persistent non-payment, unlawful activity, infringement of third-party rights, serious misuse of Qiblix services, or a conflict with Qiblix's service guidelines.
Upon termination, applicable hosting, subscriptions, maintenance and support services may cease according to the applicable service arrangement.
Termination does not transfer ownership of Qiblix's underlying technology, systems, source code, infrastructure, templates, components or other Qiblix intellectual property to the client.
Any rights that cannot legally be excluded under applicable law continue to apply.
25. Website Migration and Transfer
Qiblix's standard services do not include website migration or transfer to another provider following cancellation.
If a client chooses to discontinue Qiblix services, the client is responsible for arranging an alternative provider where they wish to continue operating their website or digital presence.
Qiblix does not have an obligation to provide source code, infrastructure, internal systems, reusable components or other Qiblix-owned technology to another provider.
Third-party services, licences, domains and infrastructure may be subject to their own transfer rules and requirements.
Qiblix may, at its discretion, provide limited assistance with transition matters where technically and commercially appropriate, but such assistance is not included unless expressly agreed in writing.
26. Security
Qiblix takes reasonable measures to protect its systems and client information.
However, no internet-based system can guarantee absolute security.
Clients are responsible for maintaining the security of credentials and accounts under their control and must promptly notify Qiblix of suspected unauthorised access.
27. Limitation of Liability
To the maximum extent permitted by law, Qiblix will not be liable for indirect, incidental, special or consequential loss arising from the use of its services.
This does not exclude or limit liability that cannot legally be excluded or limited, including rights and remedies available under the Australian Consumer Law.
28. Client Indemnity
To the extent permitted by law, you agree to indemnify Qiblix against claims, losses and reasonable expenses arising from:
- unlawful use of Qiblix services;
- infringement of third-party rights through materials supplied by you;
- inaccurate or misleading information supplied by you; or
- your material breach of these Terms.
This clause does not apply to the extent that the relevant loss was caused by Qiblix's own negligence, unlawful conduct or other matter for which Qiblix is legally responsible.
29. Force Majeure
Qiblix will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including major infrastructure failures, telecommunications failures, natural disasters, government actions, widespread outages or other events that could not reasonably have been prevented.
30. Privacy
Qiblix collects and handles personal information in accordance with its Privacy Policy.
The Privacy Policy forms part of the information governing your use of Qiblix services.
31. Changes to These Terms
Qiblix may update these Terms from time to time.
The latest version will be published on the Qiblix website together with its effective date.
Where an update materially affects an existing service arrangement, Qiblix will take reasonable steps to notify affected clients where appropriate.
32. Governing Law
These Terms are governed by the laws applicable in Australia.
